DNPA Code of Ethics for MakeIndiaHealthy
Purpose
At MakeIndiaHealthy, associates are expected to maintain the highest ethical standards in all aspects of Company affairs. This policy ensures that all associates conduct the Company’s business with integrity, comply with applicable laws, and operate without considerations of personal advantage or gain.
Below is an outline of the Company’s policies regarding:
- Gifts, favors, entertainment, and payments given or received by Company associates
- Potential conflicts of interest
- Other relevant matters
General Policy Application
Gifts, Favors, and Payments by the Company
Gifts, favors, and payments may be given to others at the Company’s expense if they adhere to the following criteria:
- They comply with accepted business practices.
- They are of limited value and will not be construed as a bribe or payoff.
- They comply with applicable laws and ethical standards.
- Public disclosure of such actions will not harm the Company’s reputation.
Payments, commissions, or compensation to associates of customers (or their family members or associates) that are not mandated by a written contract are strictly against Company policy.
Gifts, Favors, Entertainment, and Payments Received by Associates
Associates may not seek or accept gifts, favors, entertainment, or payments without a legitimate business purpose. Personal loans, other than conventional loans at market rates from financial institutions, are also prohibited. Specific provisions include:
- Acceptable Practices:
a. Common business courtesies such as lunch or dinner with vendors, sometimes including spouses, if invited by the vendor.
b. Small-value gifts from vendors like calendars, pens, or similar items.
c. Event tickets (sports, arts, etc.) offered by a vendor, provided the vendor accompanies the associate to the event and approval is granted by the appropriate officer.
d. Overnight outings, provided vendors or individuals from other companies are present and prior approval is obtained. - Prohibited Practices:
a. Receiving cash or cash equivalents such as stocks or securities.
b. Using vendor facilities (e.g., vacation homes) for personal use unless accompanied by the vendor and approved by a Company officer.
c. Gifts exceeding nominal value from subordinates.
Conflicts of Interest
Associates must avoid situations that could result in a conflict of interest between their personal interests and the Company’s interests. Associates are required to disclose any potential conflicts to their manager in writing. Examples include:
- Ownership of significant interests in enterprises that do business with or compete with the Company.
- Serving as a director, partner, or consultant for such enterprises without CEO approval.
- Acting on behalf of third parties in transactions involving the Company.
- Any personal relationships that could interfere with Company interests.
Confidential Information
Associates are prohibited from disclosing confidential Company information, such as data, decisions, or plans, without prior authorization. Misuse, unauthorized access, or mishandling of sensitive information will result in disciplinary action, including termination.
Compliance
Violations of this policy will result in administrative action or immediate dismissal. Associates aware of violations must report them to management promptly. Each officer and vice president is responsible for ensuring compliance within their area of responsibility. Questions regarding this policy should be directed to the Corporate Vice President of Human Resources.
Social Media Guidelines
Overview
Social media can amplify your voice to a global audience. As such, associates must use good judgment and remember that nothing posted online is truly private.
Key Principles
- Understand Social Media: Social media includes all online communication platforms such as blogs, social networks, forums, and video-sharing sites.
- Know and Respect Company Policies: Ensure your postings align with Company policies. Inappropriate content, such as discriminatory remarks or threats, will not be tolerated.
- Speak for Yourself, Not the Company: If you post about the Company, include a disclaimer that your views are personal and not representative of the Company.
- Be Respectful and Professional: Avoid malicious, obscene, or defamatory posts. Respect the privacy of others and refrain from sharing misleading or offensive content.
- Be Honest and Accurate: Correct errors promptly and acknowledge changes made to previous posts.
- Respect Laws and Confidentiality: Do not share confidential information or content you do not have rights to distribute.
Reporting Concerns
If you suspect a policy violation, report it to Human Resources. Retaliation against those who report concerns is prohibited.
Plagiarism
At MakeIndiaHealthy, plagiarism is strictly prohibited.
Fairness
Our reporters ensure both sides of a story are fairly presented by giving all parties a chance to respond to accusations.
